Work Proxy Agent Partnership Agreement

This document outlines the terms, responsibilities, and commission structure between Work Proxy and its independent referral Agents.

1 Parties to the Agreement

This Agreement is entered into between Work Proxy (the "Company"), a digital account management and onboarding service operating at workproxy.fun, and the undersigned individual (the "Agent"), referred to collectively as the "Parties."

2 Purpose of Engagement

The Agent agrees to act as an independent referral partner for Work Proxy, identifying and introducing qualified candidates ("Referred Workers") who will register and operate accounts on the following platforms under Work Proxy's management:

3 Eligibility & Geographic Restriction

Eligible candidate countries include (but are not limited to): United Kingdom, United States, Canada, Australia, Germany, Netherlands, Ireland, France, Italy, Spain, Belgium, Sweden, Norway, Denmark, Finland, New Zealand, Switzerland, Austria, and Portugal. Final eligibility is determined at Work Proxy's discretion based on current platform support.

Each Referred Worker must:

• Be at least 18 years of age and legally able to enter freelance contracts
• Reside outside Nigeria with verifiable proof of address
• Possess a valid, government-issued ID matching their country of residence
• Have stable internet access and a working desktop or laptop computer
• Demonstrate basic English literacy (some platforms require additional language testing)

4 Agent Responsibilities

1. Recruit and refer only qualified candidates meeting the eligibility criteria in Section 3.
2. Accurately represent Work Proxy services, commission splits, and onboarding processes to all Referred Workers.
3. Not make guarantees of income, employment, or platform approval beyond those officially documented by Work Proxy.
4. Submit each referral through the official Work Proxy intake channel (WhatsApp, agent dashboard, or designated form).
5. Protect the confidentiality of any Work Proxy operational information shared during onboarding.
6. Refrain from collecting payment, fees, or deposits from Referred Workers directly. All financial flows are handled by Work Proxy.

5 Commission Structure

The Agent shall receive a flat commission of five percent (5%) of the gross earnings generated by each Referred Worker's account under Work Proxy management, calculated as follows:

• Commission is earned on the worker's portion of platform payouts after account verification and first successful payout.
• Commission accrues continuously for the lifetime of each active account under Work Proxy's management, subject to Section 7.
• Payouts are issued weekly every Friday via bank transfer, PayPal, or other Work Proxy-supported channels.
• A minimum payout threshold of $20 USD equivalent applies before disbursement; balances below this roll over to the following week.

6 Payment Terms

• Weekly commission statements are issued every Monday covering the prior week (Mon–Sun).
• Payouts are processed every Friday directly to the Agent's nominated account.
• The Agent is responsible for declaring and paying any local taxes on commission income.
• Work Proxy reserves the right to withhold commission in cases of fraudulent referral, account chargeback, or violation of this Agreement.

7 Term & Termination

This Agreement begins on the date of signature and continues until terminated by either Party with seven (7) days' written notice. Upon termination:

• Commissions accrued up to the termination date will be paid in the next regular weekly payout cycle.
• The Agent will retain no future commission rights for any Referred Worker beyond the termination date.
• The Agent must cease all representation of Work Proxy services immediately.

8 Confidentiality

The Agent agrees not to disclose proprietary Work Proxy information including (but not limited to) referral pipelines, internal pricing, account management techniques, or worker data to any third party. This obligation survives termination of this Agreement for a period of twenty-four (24) months.

9 Independent Contractor Status

The Agent is engaged as an independent contractor and not as an employee, partner, joint venturer, or agent of the Company. The Agent has no authority to enter into contracts on behalf of Work Proxy and is solely responsible for all taxes, social contributions, and licensing requirements applicable in their jurisdiction.

10 Acceptance

By signing below, both Parties acknowledge they have read, understood, and agree to be bound by all terms of this Agreement.
